Conturs Terms of Service

1. Agreement to Terms
This Agreement is between Conturs (registered in Ukraine) and the entity ("Customer") that executes an Order or accesses the Service. By using the Service at conturs.com, you agree to be bound by these Terms.
2. Definitions
"Customer Data" means any data, information, or material provided by Customer to the Service (e.g., CRM records, Sheets).
"Service Data" means the output generated by Conturs, including similarity scores and priority signals.
"Scored Record" means a single unique entity (Company or Contact) processed by the Conturs engine.
3. Access and Usage Rights
License: Conturs grants Customer a non-exclusive, non-transferable right to access and use the Service for internal business purposes during the Subscription Term.
Restrictions: Customer shall not (i) reverse engineer the Similarity Engine; (ii) use the Service to build a competitive product; (iii) use the Service in violation of any Applicable Laws (including GDPR/CCPA).
4. Fees and Payment
Pricing: Fees are based on the volume of Scored Records.
Taxes: All fees are exclusive of taxes. Customer is responsible for any applicable VAT or sales tax.
Auto-Renewal: Subscriptions automatically renew for the same period unless cancelled at least 30 days before the end of the term.
5. Data and Privacy
Privacy-Safe Architecture: Conturs acts as a Data Processor. We do not sell Customer Data.
AI Disclosure: Conturs does not use third-party Large Language Models (LLMs) to process Customer Data. All scoring is proprietary and deterministic.
Infrastructure: Data is hosted on Amazon Web Services (AWS) in the EU and/or US regions, ensuring industry-standard physical and network security.
6. Intellectual Property
Customer owns all rights to Customer Data.
Conturs owns all rights to the Service, Software, and Algorithms.
7. Indemnification
By Conturs: We will defend Customer against any third-party claim
alleging that the Service infringes a patent or copyright.
By Customer: Customer will defend Conturs against any claim arising
from the Customer’s unauthorized use of data or violation of privacy laws.
8. Limitation of Liability
To the maximum extent permitted by law, Conturs’ total liability shall not exceed the total amount paid by Customer in the twelve (12) months preceding the claim. We are not liable for any loss of profits or indirect damages.
9. Termination
Either party may terminate for material breach with 30 days' notice. Upon termination, Customer’s access to the Service will cease, and Conturs will delete Customer Data in accordance with the Privacy Policy.
10. Governing Law and Jurisdiction
This Agreement is governed by the laws
of Ukraine. Any disputes shall be resolved in the courts of Ukraine. For
international customers, parties may agree to alternative dispute resolution
(ADR) in a separate Order Form.
